Terms and Conditions

The End User Licensing Agreement (“EULA”, the “Agreement”) is designed to govern the steps of using Services provided by Mailing and Marketing Solutions (MAMS) Limited on behalf of Third Age Trust Trading Limited.

This Agreement
This End User License Agreement (EULA) is a legal agreement between you and MAMS. It applies when you click the “I Accept” button or otherwise indicate that you have read and agreed to these terms. This EULA relates to your use of: data or content (“Content”) being a non-exhaustive list, on our website https://u3a.mamsmail.co.uk to transfer authorised data files to MAMS. If you do not agree to these terms you are not granted any rights whatsoever in the Content or Products and you should cease to benefit from the services on this Site and all Content and Products.

The Company (“MAMS”, “we”, “us”)
https://u3a.mamsmail.co.uk is operated by MAMS, a company registered in England with Company Registration number 09155151 and whose registered address is Stadium Gate, Unit 4, Middleton Grove, Leeds LS11 5BX

The User (“you”)
You warrant that you are authorised to act on the behalf of the Third Age Trust to transfer membership data to MAMS. You consent and warrant as an individual to bind to the terms within this Agreement.

Definitions
The non-exclusive terms: “Data File”, “File”, “u3a Data”, “Group Member List”, “Mailing List”, refer to the data file containing Third Age Trust group members that have supplied their personal details for the purpose of receiving a communications from MAMS on behalf of Third Age Trust Trading Limited.

“Submit”, “Transfer”, or “Upload”, refers to the action of transferring both personal data supplied by you and the data file via the internet to MAMS.

“Site” means the website giving the User access to the Services the URL of which is https://u3a.mamsmail.co.uk . The Company reserve the right to change the design and features of the website from time to time.

License
We hereby grant you a non-exclusive, non-transferable license to use the Site provided you are the authorised representative of the Third Age Trust group you belong to for the duration and upon the terms of this Agreement. This License is restricted to the use of the Site for data transfer purposes.

Use of the u3a magazine data portal
You are responsible for the information that is uploaded on to the portal, including that the details are accurate, complete and current. Your submission of personal information is governed by our Privacy Policy.

Please note that we, nor the Third Age Trust, cannot be responsible for:
  • Spelling, punctuation, or grammatical errors made by you.
  • Duplicate records or orders supplied by you or any service users.
  • Incorrect delivery addresses, undeliverable packages, or other errors created by you.
  • Missing deliveries.
  • We are not responsible for any damages or claims incurred by you or your u3a or members caused by receiving printed materials which are defective or incomplete or which you receive later than the estimated delivery date.
Data and Mailing Services
Your mailing list(s), while in our possession, will be kept securely and in line with our Data Privacy Policy. Mailing lists and data may be shared with the Third Age Trust for their legitimate use to check and maintain the accuracy of the data and for statistical analysis.

Your mailing list(s) will not be sold or offered for use to any other party, and we will not utilise the list for any other purpose.

Mailing lists provided by you can be kept for up to 18 months from the latest date the data is used for the distribution of the magazine. This is to allow historical checks to carried out if necessary.

Where a u3a fails to provide an updated list of magazine subscribers, the previous list will be used to distribute the magazine, until a new and updated list is uploaded to the portal.

Restrictions
You are strictly prohibited from any resale or any other commercial exploitation of the Site. You agree that the data being transferred to MAMS via the Site is lawful and is provided with the explicit permission of the individuals whose personal data is contained within the Data File.

Any use of the Site, Content and or Products not expressly authorised by this Agreement or in breach of its terms entitles MAMS to exercise all rights and remedies available to it under all jurisdictions.

You shall at all times comply with the terms of all applicable privacy laws, including GDPR (the General Data Protection Regulations) and the Privacy and Electronic Communications (PECR Directive) Regulations 2003 together with all subordinate legislation and any applicable guidelines and codes of practice issued by the Information Commissioner from time to time. This shall include ensuring that you have all necessary consents and permissions for the use of your data that you choose to transfer via the Site.

You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Site.

Intellectual Property
All content on this Site including but not limited to text, software, images, photographs and graphics is protected by copyright. MAMS or Third Age Trust Trading Limited own all rights in registered designs, trademarks and service marks (whether registered or not), database rights, design right, know-how, information and all similar property including that subsisting (in any jurisdiction) in inventions, designs, performances, computer programs, semiconductor topographies, confidential information, business names, goodwill and the styles of presentation of goods or services and in applications for protection of them in any jurisdiction.

Except as expressly set out in this Agreement, nothing in this Agreement shall give you any rights in respect of any intellectual property owned by us. You shall not assert or attempt to obtain any such rights and you shall not use, copy, reproduce, modify, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit, MAMS, its trademarks, logos or other proprietary marks, or those of any affiliated companies, or any of the content of this Site, in whole or in part, except as provided in this Agreement.

Warranties and Liabilities
MAMS warrants that it has the right, power and authority to license to use the Services to you upon the terms and conditions of this Agreement. Other than this warranty all other representations, conditions and warranties of any kind, either express or implied are hereby excluded to the maximum extent permitted by applicable law.

The Company accepts liability for death or personal injury caused by its negligence and responsibility for fraudulent misrepresentation and any other liability that cannot, under English law, be excluded. Nothing in this Agreement affects your statutory legal rights. We shall not be liable to you or to any other person (whether in contract, tort (including negligence or breach of statutory duty) or otherwise) for:

Any loss which occurs as a direct or indirect result of any failure by the User to comply with this agreement and therefore urge you to verify the Data File before Transfer.

We shall not be liable to you for any of the following losses or damages from use of the Site or the Content (whether direct or indirect) or for any consequential or indirect losses: Loss of income or revenue; Loss of business; Loss of profits or contracts; Loss of anticipated savings; Loss of data; or Waste of management or office.

Security
You are responsible for the security and use of your login details and passwords. If you become aware of any unauthorised access to or are aware that an unauthorised use of the Services has occurred or may occur it shall promptly notify MAMS or the Third Age Trust. Equally, if we become aware that any unauthorised access to or use of the Services has occurred or may occur we shall promptly notify you.

Privacy
The Company understands that your privacy is very important to you and that you take the security of your information seriously. The Company has implemented technology and security policies, rules and measures to protect the personal information the Company has under its control, both on and off-line, from improper access, use, alteration, destruction and loss.

The Company will take all reasonable steps to protect your information, but data can never be guaranteed 100% secure. Please note that the Company will not be liable for any breach of security unless the Company has been negligent.

Termination
MAMS reserves the right to terminate this EULA upon breach. In the event of termination, the license shall terminate and you will be required to immediately cease all use of the Services.

1. Cease using the Services; and

2. Cease using login and passwords assigned to the account;

Assignment
The Company may at any time assign, transfer or sub-contract some or all of its obligations in the performance of a Service

This Agreement is personal to the User and the User may not assign or licence any or all of the User’s rights or obligations under it without the prior written agreement of the Company.

The Company may employ any person as agent, sub-contractor or otherwise in the performance of any of the Company’s obligations under this Agreement.

Notices
Save for notices published on the Site under this Agreement, all notices between the parties must be in writing and delivered by hand, or post, if to the Company, to the Company’s registered office.
Notices to the User, will be sent to the User’s email address specified upon Data Transfer, or to such other address as is notified by one party to the other.
Notices will be deemed to be received if sent by post, 2 days (excluding Saturdays, Sundays and bank or public holidays) after posting (excluding the day of posting), and if delivered by hand, on the day of delivery.

Miscellaneous
Failure by the Company to enforce a right does not result in waiver of such right. This Agreement supersedes any prior agreements and arrangements between the Company and the User, and constitutes the entire agreement between the Company and the User, relating to its subject matter. Neither party has relied upon or been induced to enter into this Agreement by any representation or statement other than as set out in this Agreement.

No addition to or modification of this Agreement shall be effective unless it is in writing and signed by a duly authorised representative of both the Company and the User.

Applicable Law
This Agreement shall be subject to English law.
The parties submit to the exclusive jurisdiction of the English Courts.
Nothing in this Agreement is intended to confer on any person any benefit or any right to enforce any term of it which that person would not have had but for the Contracts (Rights of Third Parties) Act 1999

Severability
Each and every term and condition contained in this Agreement shall be read separately and distinctly and the invalidity or unenforceability of any part of this Agreement shall not affect the validity or enforceability, of the remainder.

MAMS is a contracted data processor of the Third Age Trust Trading Limited, authorised to collect and process data relating to the creation and distribution of the Trust’s members magazine. When you use the services of this website you must provide your Third Age Trust group name, contact name, and an email address along with the data file you are uploading. The IP address you used while accessing the website is logged.

Your personal information is used to determine and log the source of any data transferred via this web platform and to inform you, the user, when data submitted to MAMS on behalf of Third Age Trust Trading Limited has been received correctly. Who this information might be shared with
